Corporate Associate Attorney 

Houston, Texas | Hybrid | 20–40 hours per week 

 

The Bain Firm is seeking a talented corporate associate attorney to join a growing business and transactional practice built around helping companies, investors, entrepreneurs, and business owners use the law as a strategic tool for growth. This position will begin with a commitment of 20 to 40 hours per week and is well suited for an attorney interested in growing with the firm. 
 

About the Role 
 

The attorney in this role will work on corporate business transactions, including mergers and acquisitions, entity formation, governance matters, commercial contracts, financing transactions, securities-related matters, equity compensation arrangements, secured transactions, international business matters, and company reorganizations. The position offers the opportunity to contribute directly to client matters while working with an experienced transactional team. 
 

What You’ll Do 
 

• Draft, review, and negotiate transaction documents, commercial agreements, governance documents, and related legal instruments. 

• Support clients through mergers, acquisitions, restructurings, financing transactions, and general corporate matters. 

• Conduct legal research and prepare practical, business-oriented analysis for clients and internal teams. 

• Coordinate diligence, closings, filings, and other transaction-management tasks with accuracy and professionalism. 

• Communicate clearly with clients, opposing counsel, and team members to keep matters moving efficiently. 
   

What We’re Looking For 
 

• Active license to practice law in Texas with the ability to advise clients confidently on corporate and transactional matters from day one. 

• 3+ years of experience representing clients in corporate, transactional, and mergers and acquisitions matters. 

• Excellent analytical, legal research, drafting, and writing skills. 

• Strong communication skills and the ability to advise clients with clarity, judgment, and professionalism. 

• A detail-oriented, responsive, and collaborative approach to managing sophisticated business transactions. 

• Ability to work independently while remaining closely connected to clients and the firm’s transactional team.
