The first term sheet from a private equity firm tends to arrive looking deceptively ordinary. A PDF attachment, some proposed economics, a note about next steps. What it represents is the most consequential negotiation most founders will ever conduct, against counterparts who have run this exact process dozens of times. Getting it right starts well before any term sheet arrives.

Clean house before the conversation starts

Diligence will surface whatever is wrong. The only question is whether that happens on your terms or the investor's. A cap table error caught in an internal review is a five-minute correction. The same error caught by the investor's counsel mid-deal becomes a negotiating point. Corporate records, contracts, IP assignments and the cap table all need to be accurate before any serious investor conversation begins.

Choose the partner as carefully as the terms

The sponsor's economics get compared across offers because numbers are easy to compare. What is harder to evaluate, and ultimately more predictive of how the next five years will go, is how a particular firm handles a portfolio company that misses its plan. Ask for references. Ask about hold periods. Ask how operationally involved they expect to be. A lower valuation with the right partner tends to outperform a higher one with the wrong firm.

Know where the real negotiation happens

Valuation is the number founders talk about. Board composition, consent rights, liquidation preference structure and rollover terms are where the actual outcome gets decided. Founders who spend their negotiating energy on the headline price and accept boilerplate on those four items routinely leave more value on the table than the valuation difference they were fighting over.
